1. Introduction
This End User Licence Agreement ("EULA") is a legally binding agreement between you ("User," "you") and OsteoTutor ("we," "us," "our") regarding your use of the OsteoTutor mobile application and associated platform (collectively, the "Software").
By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not use the Software.
2. Licence Grant
Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable licence to:
- Download, install, and use the Software on devices that you own or control.
- Access and use the educational content provided through the Software for your personal, non-commercial educational purposes.
3. Licence Restrictions
You may NOT:
- Copy, modify, adapt, or create derivative works of the Software.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
- Rent, lease, sublicense, sell, or distribute the Software to any third party.
- Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.).
- Use the Software in any manner that violates applicable laws or regulations.
- Use the Software to develop any competing product or service.
4. Ownership
The Software is licensed, not sold. We retain all right, title, and interest in and to the Software, including all intellectual property rights (copyright, trademarks, trade secrets, and patents). Nothing in this EULA transfers ownership of the Software to you.
5. Updates and Upgrades
We may automatically deploy updates, patches, or upgrades to the Software to improve performance, add features, or address security issues. You consent to such automatic updates. Your continued use of the Software following an update constitutes your acceptance of the updated terms.
6. Termination
This EULA is effective until terminated. You may terminate this agreement at any time by uninstalling the Software and ceasing all use. We may terminate this EULA immediately, without notice, if you breach any term of this agreement. Upon termination, you must immediately uninstall and delete all copies of the Software.
7. No Warranty
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OSTEOTUTOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR £50 IF YOU HAVE PAID NOTHING.
9. Third-Party Software and Services
The Software may incorporate or interact with third-party libraries, APIs, or services. Your use of such third-party components is subject to their respective licence terms. We are not responsible for the performance, availability, or security of third-party services.
10. Export Compliance
You agree to comply with all applicable export and import control laws and regulations. You represent that you are not located in a country subject to a UK or US embargo, and that you are not on any prohibited or restricted party list.
11. Governing Law
This EULA shall be governed by and construed in accordance with the laws of England and Wales.
12. Severability
If any provision of this EULA is found to be unenforceable, the remaining provisions shall remain in full force and effect.
